1. Step 1: Registration for granting investment registration certificate (IRC)
The components of a dossier include:
– Written request for implementation of investment project;
– For individual investors: copy of identity card, citizen identity card or passport;
– For institutional investors: copy of establishment decision or business registration certificate to certify legal status;
– Proposal of an investment project;
– Copies of financial guarantee documents or documents explaining the financial capacity of the investor;
– Proposal of land use demand or copy of agreement on hiring project sites;
– Explanation on technology use for projects using technology on the list of technologies restricted from transfer.
Receiving body: Department of Planning and Investment where the Korean capital company plans to locate its head office.Processing order: Within 15 days from the date of receiving a complete and valid dossier, the Department of Planning and Investment will issue an investment registration certificate (IRC) to the Korean investor. In case of refusal to grant, the Department shall reply in writing, clearly stating the reason.
2. Step 2: Registration for granting enterprise registration certificates (ERC)
Enterprise establishment documents include:
– Application for enterprise registration;
– Company rules;
– List of members for two-member limited liability companies or list of shareholders for joint-stock companies;
– A notarized copy of identity card or valid passport of the investor being an individual; A notarized copy of the certificate of business registration of an institutional investor, enclosed with a notarized copy of valid identity card or passport of that organization’s legal representative;
– Power of attorney for individuals to apply (if any);
– Certificate of investment registration (IRC) that Korean investors registered in step 1.
Receiving agency: Business Registration Office where the Korean capital company is headquartered.
Deadline: 03 – 06 working days from the date of receipt of the complete application.
3. Step 3: Publish content of business registration information
Information about Korean capital company is publicly announced on the National Business Registration Portal within 30 days from the date the company is granted a business registration certificate.
4. Step 4: Carve seal and seal specimen announcement
The Korean capital company engraved the company seal and announced the use of the seal sample to the Department of Planning and Investment. The company decides for itself the form, quantity and content of the seal but must show the name and tax code.
After receiving the seal sample notification, the Business Registration Office shall post the enterprise’s notice on the National Business Registration Portal.
